FINCEN Update: No More Beneficial Ownership Reports for LLCs and Corporations

What’s the Big News?

Great news for business owners! A recent court ruling has made it unconstitutional for LLCs and corporations to file a Beneficial Ownership Report. This report was supposed to be submitted to FinCEN (Financial Crimes Enforcement Network) by December 31, 2024, but now, you don’t have to worry about it—at least for now.

Let’s break it down so it’s easy to understand.

What’s a Beneficial Ownership Report?

This is a fancy name for a report that tells the government who owns a company. It was supposed to help stop illegal activities, like money laundering. However many business owners felt it was too much paperwork and invaded their privacy.

What Changed?

There was a court case in Texas called Texas Top Cop Shop vs. Garland. The court decided that requiring LLCs and corporations to file this report was unconstitutional.

Here’s why this is big:

  • Nationwide Impact: This ruling applies to all of the United States, not just Texas.

  • Alabama Case Comparison: Earlier, a similar case only applied to Alabama. Now, this new decision covers the entire country.

What Does This Mean for You?

If you own an LLC or a corporation, here’s what you need to know:

  • Already Filed? No worries. You don’t need to do anything.

  • Haven’t Filed? You don’t have to anymore, at least for now.

What Happens Next?

This decision could still be challenged. The Biden administration supports the Beneficial Ownership Report, so they might appeal the ruling. But these legal processes take time—probably more time than Biden has left in office.

What about the next administration? It’s unclear if future leaders, like Trump or someone else, will bring back this requirement. For now, though, you’re in the clear.
